Scope of Application

These General Terms and Conditions (GTC) apply to all brokerage and consulting services provided by the company “Location Finder in USA” (hereinafter referred to as “Contractor”) in relation to the search for locations in the United States of America (USA), including cooperation with third parties. These services are offered to companies and citizens of the European Union (EU) who are looking for various types of locations for different reasons. The “Contractor” provides brokerage services in the following areas:

 

  • Events (event locations / event agencies / event technology companies / catering companies) in the USA
  • Real estate agents (commercial / private) in the USA
  • Architects (for properties / land) in the USA
  • Attorneys / specialist lawyers (company formation / employee relocation / immigration / tax law / etc.) in the USA
  • Craftsmen (construction companies / masonry / carpentry / woodworking / roofing / electricians / heating / plumbing / painting / landscaping / pool construction / etc.) in the USA
  • and more.

Note: The Contractor explicitly does not provide legal advice. Legal services are provided exclusively by attorneys licensed in the USA, whom the Contractor may refer to.

 

Contracting Parties

The Client is the natural or legal person who accepts the offer or places the order. The written confirmation by the Contractor is decisive. Representation may occur through commercial agents/partners. The Client will be informed about any cooperation partners.

 

Scope of Services

Brokerage as mentioned under Section 1 as well as relevant service provisions in the USA. Consulting services regarding process, planning, logistics, budgeting, selection criteria, and cooperation possibilities.

 

Services Not Provided

The Contractor does not provide legal advice, legal opinions, representation before courts or authorities in the USA, as described under Section 1.

 

Compensation

Compensation is based on the written agreement. This generally includes, upon order placement, an advance payment of 50% of the contractually agreed total amount, an additional payment of 25% upon the conclusion of all cooperation partners referred through the contract, and a final payment (remaining balance) of 25% after the full execution of the overall assignment. Expenses, travel costs, VAT, etc., will be charged separately unless otherwise agreed. Payment terms are a maximum of 14 days after receipt of the invoice.

 

Obligations of the Client

Complete, truthful, and timely provision of all information relevant to the services. Timely review of offers and communications, timely approvals or rejections.

 

Liability

The Contractor is liable only for intentional or grossly negligent breaches of duty as well as for the violation of essential contractual obligations. Liability is limited to typical and foreseeable damages. Liability for third-party content (e.g., offers from third-party providers) is excluded unless intent or negligence is present. The note regarding the absence of legal advice also applies to any damages arising from the lack of legal consultation.

 

Data Protection and Data Security

The processing of company-related and personal data is carried out in accordance with the GDPR. Data is only shared with partners or service providers with consent or legal basis and is generally transmitted in encrypted form when sent electronically.

 

Confidentiality

Both parties agree to treat all confidential information obtained in connection with the assignment strictly confidentially.

 

Contract Duration and Termination

The contract begins upon signature and ends according to the agreement. Notice periods follow the respective agreement. In the event of early termination by the Client, agreed compensation and expenses may remain payable.

 

Choice of Law and Jurisdiction

EU law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG), and U.S. law applies in cases of violations by third parties. The place of jurisdiction is the Contractor’s registered office, insofar as legally permissible; alternatively, a contractual jurisdiction may be agreed upon. Mediation/dispute resolution according to EU regulations is recommended; alternatively, dispute resolution via competent authorities.

 

Final Provisions

Amendments and supplements require written form. Should individual provisions be invalid, the remainder of the agreement shall remain effective; instead of the invalid provision, a legally permissible regulation that reflects the economic purpose as closely as possible shall apply.
